Please read these Terms and Conditions carefully before using the Onni service. By accessing or using our Service, You agree to be bound by these Terms.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

Account
Means a unique account created for You to access our Service or parts of our Service.
Application
Means the software program provided by the Company downloaded by You on any electronic device, named Onni.
Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement)
Refers to Onni and its related entities, affiliates, authorised representatives, technology partners and service providers.
Country
Refers to Australia.
Device
Means any device that can access the Service such as a computer, cellphone, wearable device or digital tablet.
Service
Refers to the Application, Website, Onni Gift products, reloadable card functionality, digital gifting services and related services.
Terms (referred to as "Terms" or "Terms and Conditions")
Mean these Terms and Conditions which form the entire agreement between You and the Company regarding Your use of the Service.
Third-Party Social Media Service
Means any services or content provided by third parties that may be displayed, included or made available by the Service.
Website
Refers to Onni, accessible from https://www.onni.io.
You
Means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

Acknowledgement

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

By using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that You are over the age required by applicable law to provide consent or that a parent or guardian has agreed to these Terms on Your behalf.

We may update these Terms from time to time. We will notify You of any changes by posting the new Terms on this page and updating the "Last updated" date at the top of this page.

Use of the Service

By accepting these Terms, You agree that:

  • You will use the Service only for lawful purposes and in accordance with these Terms
  • You are responsible for maintaining the confidentiality of Your Account and password
  • You agree to notify us immediately of any unauthorised use of Your Account
  • You will not use the Service for any illegal or unauthorised purpose
  • You will comply with all applicable laws and regulations

Gift Transactions

  • All gift transactions are final and cannot be reversed once processed
  • The Company acts as an intermediary between gift senders and participating vendors
  • Gift recipients must redeem gifts at participating vendors within the validity period
  • The Company is not responsible for the quality or availability of vendor offerings
  • Gift values are denominated in the currency specified at the time of purchase

Digital Wallet and Payment Services

  • The Service may integrate with digital wallet providers including Apple Pay, Google Wallet and Samsung Wallet
  • Wallet tokenisation is handled by Your wallet provider, not by the Company
  • You are responsible for ensuring Your wallet credentials are secure
  • The Company does not store full payment card details

User Account Responsibilities

When You create an Account with Us, You must provide information that is accurate, complete and current at all times. Failure to do so constitutes a breach of these Terms.

  • You are responsible for all activities that occur under Your Account
  • You must immediately notify us of any unauthorised use of Your Account
  • We reserve the right to suspend or terminate Your Account if information is found to be false or misleading
  • You may not use another user's Account without their express permission

AML/CTF Compliance

As a fintech platform, Onni is committed to complying with all applicable Anti-Money Laundering and Counter-Terrorism Financing laws. By using the Service, You acknowledge and agree that:

  • We may request identity verification and KYC information from You
  • We may conduct sanctions screening on users and transactions
  • We may monitor transactions for suspicious activity
  • Failure to provide required information may result in limited or restricted access to the Service
  • We may be required to report suspicious activities to relevant authorities

Intellectual Property

The Service and its original content, features and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret and other intellectual property laws.

  • You may not copy, modify, distribute or create derivative works based on the Service
  • You may not reverse engineer or decompile the Service
  • All trademarks, service marks and trade names are the property of their respective owners

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over and accepts no responsibility for the content, privacy policies or practices of any third-party websites or services.

You acknowledge and agree that the Company shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods or services available on or through any such websites or services.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company or its directors, employees, partners, agents, suppliers or affiliates be liable for any indirect, incidental, special, consequential or punitive damages.

  • The Company assumes no liability for the actions of third parties or participating vendors
  • The Company is not responsible for any loss or damage arising from use of the Service
  • Total liability shall not exceed the amount paid by You for the Service in the past twelve months

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia.

Dispute Resolution

If You have any concern or dispute about the Service, You agree to first attempt to resolve the dispute informally by contacting the Company.

For EU users, the European Commission provides an online dispute resolution platform. For Australian users, disputes may be referred to relevant consumer protection agencies.

Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, such provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after any revisions become effective, You agree to be bound by the revised terms.
